Description of Services DeLande Group Holdings provides integrated logistics, trading, and infrastructure services including but not limited to: - Maritime logistics and freight forwarding - Land transportation and distribution - Warehousing and inventory management - Commodity trading services - Supply chain consulting - Digital logistics platform access ## 3\. User Accounts When you create an account with us, you must provide accurate, complete, and current information. You are responsible for: - Maintaining the confidentiality of your account credentials - All activities that occur under your account - Notifying us immediately of any unauthorized use - Ensuring your account information remains accurate and up-to-date ## 4\. Service Terms and Conditions ### 4.1 Logistics Services All logistics services are subject to separate service agreements that specify detailed terms, pricing, and conditions. These service agreements take precedence over these general Terms where applicable. ### 4.2 Pricing and Payment Prices for services are as quoted in individual service agreements. Payment terms are specified in the applicable service agreement. Late payments may incur interest charges as permitted by law. ## 5\. Intellectual Property All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of DeLande Group Holdings and are protected by international copyright, trademark, and other intellectual property laws. ## 6\. Prohibited Uses You agree not to use our services: - For any unlawful purpose or in violation of any applicable laws - To transport prohibited, hazardous, or illegal goods - To infringe upon the rights of others - To transmit harmful code or interfere with our systems - To misrepresent your identity or affiliation - To engage in fraudulent activities ## 7\. Limitation of Liability To the fullest extent permitted by applicable law: - DeLande Group Holdings shall not be liable for any indirect, incidental, special, consequential, or punitive damages - Our total liability shall not exceed the amount paid by you for the services giving rise to the claim - We are not liable for delays or failures caused by force majeure events ## 8\. Indemnification You agree to indemnify, defend, and hold harmless DeLande Group Holdings and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses arising out of your use of our services or violation of these Terms. ## 9\. Confidentiality Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation shall survive the termination of these Terms. ## 10\. Dispute Resolution Any disputes arising from these Terms or your use of our services shall be resolved through the following process: - Good faith negotiations between the parties - Mediation by a mutually agreed-upon mediator - Binding arbitration in accordance with applicable rules - Legal proceedings in courts of competent jurisdiction as a last resort ## 11\. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Harris County, Texas. ## 12\. Modifications to Terms We reserve the right to modify these Terms at any time. We will provide notice of significant changes through our website or by email. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms. ## 13\. Termination We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive. ## 14\. Severability If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
